These Terms are an agreement between you and USA Proud LLC ("we," "us"), which operates usaproudllc.com. By using our website or services, you agree to them.

Our services

We offer website design and updates, AI chatbots, social media management, SSL certificate setup, home page videos, logo design and related digital services. The scope, timeline and price of each project are agreed in writing, such as by email or invoice.

Payment

For paid work we give you a price before we start. Payment is due by the date on the invoice. We may pause work on an overdue account. Fees for work already completed are non-refundable unless we agree otherwise in writing.

What we need from you

You agree to give us accurate information, content and access we need, and you confirm you own or have permission to use what you provide. Delays on your side may delay the project.

Ownership

You keep ownership of your business name, logos and content. After all amounts owed for a paid project are paid, you own the finished content made for you. We keep our tools, templates and know-how. We may show non-confidential finished work in our portfolio unless you tell us in writing not to.

Third-party services

Our work may depend on services we do not control, such as hosting, domain, social media, email, text and chatbot providers. We are not responsible for their outages or changes.

Chatbots

AI chatbots can make mistakes. You are responsible for reviewing what they say and for making sure they suit your business and the law.

Text messages

If you agree to receive texts, you may get messages from USA Proud LLC about our services and your projects. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Acceptable use

You agree not to use our services for anything illegal, harmful or misleading. We may refuse or stop work that breaks this rule.

No guarantees and limit of liability

We cannot promise specific results such as rankings, followers or sales. Our website and services are provided "as is." To the extent the law allows, we are not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us for the service involved.

Governing law

These Terms are governed by California law. Disputes will be handled in the courts of Orange County, California, unless the law requires otherwise.

Changes and contact

We may update these Terms, and the effective date shows the latest version.
